Changes in the Composition of the Board of Directors

Due to the fact that B. Nandin-Erdene, an outside director of the Board of Gobi JSC, will be residing abroad for an extended period of time, the Nomination Committee under the Board of Directors held an extraordinary meeting on September 14, 2022. At the meeting, it was decided to remove B. Nandin-Erdene from the board and appoint a new member in his place. The committee also determined whether the candidates met the criteria for independence.

Subsequently, the Board of Directors held a meeting on September 15, 2022, and based on the assessment of the Nomination Committee, independent board member B. Nandin-Erdene was removed, and until the election of the Board members at the Meeting of Shareholders in 2023, candidate D. Khurelbaatar has been temporarily appointed as an outside director of the Board.
